Welcome to Plena Supply. The terms “we,” “us,” and “our” refer to Plena Supply. Plena Supply operates this store and website, including all related information, content, features, tools, products, and services, in order to provide you with a professional shopping experience (the “Services”). Plena Supply is powered by Shopify, which enables us to provide the Services to you.
The terms and conditions below, together with any policies referenced here (these “Terms of Service” or “Terms”), describe your rights and responsibilities when you use the Services.

We do not warrant that the appearance or quality of any product will match your expectations or look exactly as shown in the store.
Product descriptions may change at any time without notice. We may discontinue any product at any time and may limit quantities offered to any person, region, or jurisdiction.
SECTION 3 - ORDERS
When you place an order, you are making an offer to purchase. Plena Supply may accept or decline your order for any reason. Your order is not accepted until we confirm acceptance and payment has been received and processed. Review your order carefully before submitting. We may be unable to cancel an order after it is accepted. If we do not accept, change, or cancel an order, we will try to notify you using the email, billing address, and/or phone number provided with the order.
Purchases are subject to return or exchange only under our Refund Policy.
You represent that you are buying products for lawful use, including installation, service, retrofit, or stocking for commercial or residential fire, security, and low-voltage work. You may not purchase products for unlawful export or for gray-market resale of non-genuine goods.
SECTION 4 - PRICES AND BILLING
Prices, discounts, and promotions may change without notice. The price charged is the price in effect when the order is placed and will appear in your order confirmation email. Unless stated otherwise, posted prices do not include taxes, shipping, handling, customs, or import charges.
Store prices may differ from prices offered elsewhere. Promotions may have separate terms. If promotion terms conflict with these Terms, the promotion terms control.
You agree to provide current, complete, and accurate purchase and payment information, and to keep your account details updated so we can complete transactions and contact you.
You represent and warrant that (i) the payment information you provide is true and complete, (ii) you are authorized to use that payment method, (iii) charges will be honored by your payment provider, and (iv) you will pay the posted prices, including shipping, handling, and applicable taxes.
SECTION 5 - SHIPPING AND DELIVERY
We are not liable for shipping and delivery delays. Delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs, or events outside our control. Once we transfer products to the carrier, title and risk of loss pass to you.

The Services, including trademarks, brands, text, images, graphics, video, audio, and their arrangement, are owned by Plena Supply, its affiliates, or licensors, or by the applicable product manufacturers, and are protected by U.S. and other intellectual property laws.
These Terms allow you to use the Services to shop and place orders. You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit material from the Services without our prior written consent, except as needed to use the store in the ordinary way. Nothing in these Terms grants a license under any patent, trademark, or copyright of Plena Supply, Shopify, or any third party. All rights not expressly granted are reserved.
Plena Supply names, logos, product names, designs, and slogans are trademarks of Plena Supply or its licensors. You may not use them without prior written permission. Shopify’s name and marks are trademarks of Shopify. Manufacturer names and marks belong to their owners.
SECTION 7 - OPTIONAL TOOLS
You may get access to third-party tools we do not monitor or control. Those tools are provided “as is” and “as available,” without warranties or endorsement. We have no liability arising from your use of them. Use them at your own risk and review the third party’s terms.
New features we add later are also part of the Services and are covered by these Terms.

The Services may include links or materials from third parties. We are not responsible for their content or accuracy. If you leave the Services to use those sites, you do so at your own risk. Complaints about third-party products or services should go to that third party.
SECTION 9 - RELATIONSHIP WITH SHOPIFY
Plena Supply is powered by Shopify, which enables us to provide the Services to you. Any sales and purchases you make in our store are made directly with Plena Supply. By using the Services, you acknowledge that Shopify is not responsible for any aspect of sales between you and Plena Supply, including any injury, damage, or loss from purchased products. You release Shopify and its affiliates from claims, damages, and liabilities arising from your purchases and transactions with Plena Supply.
SECTION 10 - PRIVACY POLICY
Personal information we collect through the Services is subject to our Privacy Policy on this website. Some information may also be subject to Shopify’s Privacy Policy. By using the Services, you acknowledge those policies. Because the store is hosted by Shopify, Shopify collects and processes information about your use of the Services. Information you submit may be shared with Shopify and other providers, including in other countries, to operate the store.

You may not use them to break the law, infringe intellectual property, harass anyone, send spam, impersonate others, upload malware, scrape the site with bots or automated tools, or interfere with security features. We may suspend or terminate your account if you violate these Terms.

We may end this agreement or your access to the Services at any time without notice. You remain responsible for amounts owed through the termination date.
These sections survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other section that should reasonably survive.

Information on the Services is for general information only. We do not warrant that it is accurate or complete. You rely on it at your own risk.

WE DO NOT WARRANT THAT USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS LIMIT THESE DISCLAIMERS, SO THEY MAY NOT APPLY TO YOU IN FULL.

TO THE FULLEST EXTENT ALLOWED BY LAW, PLENA SUPPLY, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS, AND THOSE OF SHOPIFY AND ITS AFFILIATES, SHALL NOT BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS PURCHASED THROUGH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

If any part of these Terms is found unenforceable, the rest remains in effect.
SECTION 20 - WAIVER; ENTIRE AGREEMENT
If we do not enforce a provision, that is not a waiver. These Terms and the policies posted on this site are the entire agreement between you and us about the Services.

You may not assign these Terms without our written consent. We may assign them without notice.
SECTION 22 - GOVERNING LAW
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. You and Plena Supply consent to venue in the state or federal courts located in Miami-Dade County, Florida.

The current Terms are always on this page. We may update them by posting changes on the website. Material changes will be effective on the date stated in the notice, as required by law. Continued use of the Services after changes are posted means you accept them.
